6.1.B. - Page 3 <br /> AGREEMENT FOR PROFES510NAL SERViCES <br /> {Atkins North America, Inc.) <br /> THIS AGREEMENT is made and entered into as of the day of September, <br /> 2012, by and between the CtTY OF REDWO�D CITY, a charter city and municipal <br /> corporation of the State nf Calitornia ("City"), and Atkins North America, Inc. <br /> ("Consu�tant"). <br /> RECITALS <br /> A. City requires the professior�al services of an Environmental Consultant. <br /> B. Consultant has the necessary experience in providing professiona[ services <br /> and advice. <br /> C. 5election of Cansultant is exp�cted to achieve the desired results in an <br /> expedited fashion. <br /> D. Consultant has submitted a prnposal ta City and has affirmed its wilfingness <br /> and ability to perform such work. <br /> N�W, THEREFORE, in consideration af these recitals and the mutual covenar�ts <br /> contained herein, the Parties agree as fo�lows: <br /> 1. Scooe of Work. City retai�s Consuitant to perFarm, and Consultant agrees to <br /> render, those services (the "Services") that are defined in attacF�ed Exhibit "A," which is <br /> incorporated herein by reference. In the event of a conflict betwe�n the provisions of <br /> Exhibit "A" and #he terms of this Agreement, the terms of this A�reement shall prevail. <br /> Ci#y shail have the right to modify the scope of work to clelete tasks in whole or in part. <br /> 2. Standarof of Performance. While p�rforming the 5ervices, Consultant will exercise <br /> the reasonable professional care ancf skill customariiy exercised by reputable members <br /> of Consuitar�t's profession practicing in the urban Northern California Area, and will use <br /> reasonable diligence and best judgmer�t while exercising its p�ofessional skill ar�d <br /> expertise. <br /> 3. Term. Unless earlier terminated, the term af this Agreement will commence upon <br /> the date fiirst abo�e written and shai! expire upon completion of performance of Services <br /> hereunder hy Consulfant. <br /> 4. Schedule.
