ORIGINAL <br /> LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY <br /> AND <br /> THE COUNTY OF SAN MATEO <br /> T IS LICENSE AGREEMENT ("Agreement") is entered into as of <br /> � �2012 (the "Effective Date"), by and between THE CITY OF <br /> RED OD CITY, a charter city and municipal corporation of the State of California <br /> ("CITY"), and THE COUNTY OF SAN MATEO, a political subdivision of the State of <br /> California ("COUNTY"). <br /> RECITALS <br /> A. CITY owns certain undeveloped real property adjacent to Maple Street in <br /> Redwood City, California, as shown in Exhibit "A" attached hereto and <br /> incorporated herein by reference ("License Area"). <br /> B. COUNTY owns property on Chemical Way immediately adjacent to the License <br /> Area ("County Property") and intends to construct a County jail facility ("County <br /> Jail Project") thereon. <br /> C. COUNTY is in the design stage of its County Jail Project, and desires to use the <br /> License Area for vehicle parking purposes in connection with the County Jail <br /> Project. <br /> D. In consideration for the use of the License Area, COUNTY will collaborate with <br /> CITY on the development of a comprehensive parking program benefitting the <br /> County Jail Project and the Redwood City Police facility located across the street. <br /> E. CITY has determined that this use provides a common benefit by enabling <br /> development of better improvements on the County Property, and reducing the <br /> impacts of parking on the surrounding public streets. <br /> F. CITY is willing to provide to COUNTY a license to use the License Area for <br /> parking purposes in connection with the County Jail Project, all on the terms set <br /> forth herein. <br /> NOW, THEREFORE, the parties agree as follows: <br /> AGREEMENT <br /> 1. License. For good and valuable consideration, receipt of which is hereby <br /> acknowledged, starting on January 1, 2013 (the "Commencement Date"), CITY confers <br /> to COUNTY a revocable, personal, non-exclusive and non-possessory privilege to enter <br /> upon and use the License Area for the limited purpose and subject to the terms, <br /> conditions and restrictions set forth below.
