ORIGINAL <br />AMENDMENT NO. 1 TO EXTEND AND AMEND <br />DESIGN PROFESSIONAL AGREEMENT <br />(Infrastructure Engineering Corporation) <br />T is Amendment No. 1 is entered into and effective as of the 8 ( day of <br />2017, extending and amending the agreement dated <br />November , 2012 (the "Agreement") by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California ("City"), and <br />Infrastructure Engineering Corporation ("Consultant") (collectively, the "Parties") for <br />professional services for the California Water Tank and Pump Station Project. <br />RECITALS <br />A. On November 13, 2012, the Parties executed a Professional Services <br />Agreement; in the amount of $385,339.00 (the "Agreement"); and <br />B. On May 8, 2017, the Council for the City of Redwood City approved an <br />alternative design for the project, which will require additional professional consulting <br />services. <br />C. The Parties have negotiated and agreed to the amendment attached <br />hereto and incorporated by reference as Exhibit "A," Scope of Services and Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A' in accordance with the rates set forth therein on a time and <br />materials basis with a not to exceed amount of Three Hundred Fifty Six Thousand, Four <br />Hundred Eighty Two Dollars ($356,482.00), for an aggregate amount of Seven Hundred <br />Forty One Thousand, Eight Hundred Twenty One Dollars ($741,821.00) The rates in <br />Exhibit "A" shall supersede the rates set forth in the Agreement. <br />3. Consultant will complete the work described in Exhibit "A" in accordance <br />with the schedule set forth therein. <br />4.
