Such work product is not intended or represented to be suitable for reuse by City or others on extensions of the Project or on any other project. Any such reuse without written verification or adaptation by Consultant and Consulant's sub consultants, as appropriate, for the specific purpose intended will be at City's sole risk and without liability or legal exposure to Consultant, or to Consultant's subcontractors. Any such verification or adaptation will entitle Consultant to further compensation at rates to be agreed upon by City and Consultant. Notwithstanding any other provision of this Agreement befinreen Consultant and City or any provision of the scope of work, work assignments, work authorizations, or any amendment issued hereunder, all of Consultant's pre-existing or proprietary information, documents, materials, computer programs, or software developed by Consultant outside of this Agreement shall remain the exclusive property of Consultant. 15. Copvriqhts. Consultant agrees that all copyrights that arise from the Services will be vested in City and Consultant relinquishes all claims to the copyrights in favor of City. 16. Notices. The name of the persons who are authorized to give written notices or to receive written notice on behalf of City and on behalf of Consultant under this Agreement. Each party will notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. 17. Conflict of Interest. City will evaluate ConsultanYs duties pursuant to this Agreement to determine whether disclosure under the Political Reform Act and City's Conflict of Interest Code is required of Consultant or any of Consultant's employees, agents, or subcontractors. Should it be determined that disclosure is required, Consultant or Consultant's affected employees, agents, or subcontractors will complete and file with the City Clerk those schedules specified by City and contained in the Statement of Economic Interests Form 700.
