1 e) any combination of the foregoing (whether or not in related or <br /> 2 contemporaneous transactions) which has the effect of any such transfer <br /> 3 or change of ownership, or change of control of Company. <br /> <br />4 11.5 Affiliated Companies <br />5 Company's' accounting records and financial statements shall be maintained on <br />6 an Authority-wide basis, showing the results of Company's operations under <br />7 this Agreement separately from operations in non-Authority locations, as if <br />8 Company were an independent entity providing service only to Authority. The <br />9 costs and revenues associated with providing service to Authority shall not be <br />10 combined, consolidated, or in any other way incorporated with those of other <br />11 operations conducted by Company in other locations, or 'with those of an <br />12 affiliate. <br />13 If Company enters into any financial transactions with a related party entity or <br />14 affiliate for the provision of labor, equipment, supplies, services, capital, etc., <br />15 related to the furnishing of service under this Agreement, that relationship shall <br />16 be disclosed to Agency, and shall be placed in the financial reports submitted to <br />17 Agency. In such event, Agency's rights to inspect records and obtain financial <br />18 data shall extend to such related party entity or entities. <br /> <br />19 11.6 Subcontracting <br />20 Company shall not engage any subcontractors for Collection or processing of <br />21 Green Waste without the prior written consent of Agency. <br /> <br />22 11.7 Binding on Assi_mas <br />23 The provisions of this Agreement shall inure to the benefit to and be binding on <br />24 the per.,Litted assigns of the parties. <br /> <br />25 11.8 Transition to Next Company <br />26 If the transition of services to another company occurs through expiration of <br />27 teem, default and termination, or otherwise, Company will take direction from <br />28 Agency to assist in an orderly transition, which will include Company providing <br />29 route lists and billing information. Company will not be obliged to sell Collection <br />30 vehicles, bins, and Containers to the next Company. Depending on Company's <br />31 circumstances at the point of transition, Company at its option may enter into <br />32 negotiations with the next Company to sell (in part or all) Collection vehicles, <br />33 bins, and Containers. <br /> <br /> Page61 8/2/96 <br /> <br /> <br />
