comply with the California Environmental Quality Act (Pub. Res. Code §21000 et <br />seq.). <br /> <br /> c. AgenCy's Costs. Agency shall be responsible only for the <br />compensation of its staff. <br /> <br /> 15. SEVERABILITY. If any term, provision, clause, covenant, or condition <br />of this Agreement is held by a court of competent jurisdiction to be invalid, void <br />or unenforceable, the remaining provisions hereof shall remain in full force and <br />effect. <br /> <br /> 16. INTEGRATION. This Agreement constitutes the entire agreement <br />between the parties and supersedes all prior understandings or agreements (oral <br />or written) between the parties regarding the subject matter hereof. <br /> <br /> 17. SUCCESSORS. This Agreement, and all terms and conditions hereof, <br />shall be binding upon, and inure to the benefit of, the successors and assigns of <br />the parties. <br /> <br /> 18. ASSIGNMENTS. Neither this agreement nor any interest therein shall <br />be assigned, conveyed, encumbered or otherwise transferred by Developers; <br />provided, that Developers, or either of them, may assign this agreement or any <br />intereSt therein to a parent entity, subsidiary, division or affiliate with the prior <br />approval of Agency, evidenced by duly adopted resolution of Agency's Board of <br />Directors, <br /> <br /> '19. NOTICES.
