14. City and Developer shall each have executed and delivered counterparts of the <br />Construction Agreement as provided in Section 518. <br /> <br /> 15. City and Developer shall each have executed and delivered counterparts of the <br />Maintenance Agreement as provided in Section 519. <br /> <br /> 16. The parties have agreed upon the Parking Facility Costs in accordance with <br />Section 518. <br /> <br /> 17. The City and/or the Agency have determined an appropriate and feasible method <br />of financing the Public Parking Facility. <br /> <br /> §403 Developer's Duties <br /> <br /> Developer shall pay in Escrow or deliver to the Escrow Agent the following fees, <br />charges, costs and documents related to the Acquisition Parcels and the Agency Parcel promptly <br />after the Escrow Agent has notified Developer of the amount of such fees, charges and costs, but <br />not earlier than ten (10) days prior to the scheduled date for the close of Escrow: <br /> <br /> A. The escrow fee; <br /> <br /> B. The premium for the title insurance policy as set forth in Section 312 of this <br />Agreement; <br /> <br /> C. Recording fees; <br /> <br /> D. Notary fees; <br /> <br /> E. Ad valorem taxes and assessments and possessory interest taxes, if any, upon the <br />Acquisition Parcels, to the extent Developer is responsible for the payment thereof in accordance <br />with the provisions of Section 510; and <br /> <br /> F. Any transfer tax applicable to any of the subject conveyances. <br /> <br /> Developer shall also execute and deliver such other documents and instruments that are <br />required herein, or that may be reasonably required by Escrow Agent, in order to consummate <br />the transactions contemplated herein. <br /> <br /> §404 Agency's and City's Duties <br /> <br /> The Agency and the City shall in accordance with this Agreement timely and properly <br />execute, acknowledge and deliver Grant Deeds in substantially the form established in Section <br />310 of this Agreement conveying to Developer title to the Agency and Acquisition Parcels in the <br />condition required by Section 311 of this Agreement, together with their instructions to the <br />Escrow Agent that the Grant Deeds may be recorded upon the Agency's confirmation that the <br />Developer has completed all acts necessary to entitle the Developer to such conveyance, if such <br />be the fact.
