19. Notices. The name of the persons who are authorized to give written notices or to receive written notice on behalf of City and on behalf of Special Counsel under this Agreement. Each party wilt notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. 20. Conflict of Interest. City will evaluate Special Counsel's duties pursuant to this Agreement to determine whether disclosure under the Political Reform Act and City's Conflict of Interest Code is required of Special Counsel or any of Special Counsel's employees, agents, or subcontractors. Should it be determined that disclosure is required, Special Counsel or Special Counsel's affected employees, agents, or subcontractors will complete and file with the City Clerk those schedules specified by City and contained in the Statement of Economic Interests Fom~ 700. Special Counsel warrants that it has no financial interest in the subject matter of this Agreement, i.e., water recycling. Special Counsel further warrants that it will comply with all California State Bar Rules of Professional Conduct, including those relating to interests adverse to a client (Rule 3-300) and representing adverse interests (Rule 3-310). 21. General Compliance with Laws. Special Counsel will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Special Counsel, or in any way affect the performance of the Services by Special Counsel. Special Counsel will at all times observe and comply with these laws, ordinances, and regulations and will be responsible for the compliance of Special Counsel's Services with all applicable laws, ordinances and regulations. 22. Discrimination and Harassment Prohibited. Special Counsel will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 23. Temfination. The City may terminate this Agreement upon written notice to Special Counsel pursuant to the notice provisions of this Agreement. Temdnation will be effective immediately upon notification. In this event and upon request of City, Special Counsel will assemble the work product and put it in order for proper filing and closing and deliver it to City.
