12l03/20 <br /> 1. Effective Date and Terrn of Contract. The term of this Contract shall <br /> commence on (the "effective date"), and shail expire ten years <br /> thereafter, to wit, on . Thereafter, each year upon the <br /> anniversary of the effective date, the initial term will automaticaliy be extended as <br /> provided in paragraph 2. <br /> 2. Renewai. Each year on the anniversary of the effective date of this <br /> Contract {hereinafter refened to as the °renewal date"), a year shall au#omatically be <br /> added to the initial term of this Contract unless sooner terminated in accordance with <br /> the provisions herein. <br /> 3. Natice of Nonrenewal. <br /> a) If either Owner or City desires in any year not to renew the <br /> Contract, that party shall serve written notice of nonrenewa! of the Contract on <br /> the othe� party in advance of the annual renewal date of the Contract. Unless <br /> such notice is served by Owner to City at least ninety (90) days prior to the <br /> annual renewal date, or served by City to �wner at leas# sixty (60) days prior to <br /> the annual renewal date, one (1)year shall be automatically added to the term of <br /> the Contract. <br /> b) Upon receipt by Owner of a notice of nonrenewal from City, Owner <br /> may make a written protest o#the notice of nonrenewal. City may, at any time <br /> p�ior to the renewal, withdraw the notice of nonrenewal. <br /> c) If either City or Owner serves notice of intent in any year not to <br /> renew the Contract, the existing Contract shall remain in effeet for the balance of <br /> the period remaining since the original execution or the last renewal of the <br /> Contract, as the case may be. <br /> 4. Standards for Historical Pronertv. During the term of this Contract, the <br /> Historic Property shall be subject to the following canditions, requirements and <br /> restrictions and Owner agrees to same: <br /> a) Owner shall preserve and maintain the characteristics of historical <br /> significance of the Historic Property. Attached hereto, marked as Exhibit"B," and <br /> incorporated herein by this reference, is a list of those minimum standards and <br /> conditions #or maintenance, use and preservation of the Historic Property, which <br /> shall apply to such property throughout the term of this Contract. Owner shall <br /> also comply with the requirements set forth in Chapfer 40 af the Code of the City <br /> of Redwood City and with the Secretary of the Inte�ior's Rehabilitation Standards <br /> set forth in Exhibit "D," and incorporated herein by this reference. <br /> b) Owner shall, where necessary, restore and rehabilitate the properly <br /> according to the rules and �egulatio�s vf the Office of the Historic Preservation of <br /> the State Department of Parks and Recreation and in accordance with the <br /> ATfYlAGR/2012.184lFOX THEATRE MILLS ACT CONTRRCT <br /> REV:11-15-12 VR <br /> Page 2 of 10 <br /> RESO.#15235 <br /> MUFF#612 <br />
