<br /> Corps Director. Funds will be able to be dispersed to Members, Site Supervisors, and other individuals
<br /> specifically identified within the Host Agency. BACR requests a month notice for distribution of these funds.
<br /> ARTICLE VI—INDEMNITY
<br /> BACR shall indemnify and hold harmless City and Redwood City 2020, and their officers, agents and employees
<br /> against all claims for damages to persons or property arising out of the negligent acts, errors or omissions or
<br /> wrongful acts or conduct of BACR, or its employees, agents, subcontractors, or others in connection with
<br /> Redwood City 2020's funding of an AmeriCorps Member under this Agreement, except for those claims arising
<br /> from the willful misconduct, sole negligence or active negligence of the City or Redwood City 2020, its officers,
<br /> agents, or employees. BACR's indemnification shall include any and all costs, expenses, attorneys' fees, expert
<br /> fees and liability assessed against or incurred by City or Redwood City 2020,their officers, agents, or employees
<br /> in defending against such claims or lawsuits, whether the same proceed to judgment or not. Further, BACR at its
<br /> own expense shall, upon written request by City or Redwood City 2020, defend any such suit or action brought
<br /> against City or Redwood City 2020, their officers, agents, or employees resulting or arising from Redwood City
<br /> 2020's funding of an AmeriCorps Member.
<br /> ARTICLE VII-TERMS
<br /> It is mutually agreed by all Parties to this MOU that:
<br /> • The Parties will review the effectiveness of the MOU after the first year and evaluate potential
<br /> modifications that more adequately address the purpose of this MOU.
<br /> • In the event that a Party no longer approves implementation of any of the provisions referenced in this
<br /> MOU, the individual Parties agree to promptly confer to determine what, if any, modifications to this
<br /> MOU should be made to address the issue(s)of concern.
<br /> • In the event that a Party no longer desires to be a part of this MOU or any modification(s), then the
<br /> individual Party in their sole discretion may terminate their relationship within this MOU.
<br /> • Written notice must be provided by the Party desiring to withdraw from the MOU at least thirty days
<br /> prior to termination.
<br /> • Each Party agrees that it will be responsible for its own acts and the results thereof and shall not be
<br /> responsible for the acts of the other Party and the results thereof. Each Party, therefore, agrees that it will
<br /> assume all risk and liability to itself, its agents or employees, for any injury to persons or property
<br /> resulting in any manner from the conduct of its own operations, and the operation of its agents or
<br /> employees under this MOU, for any loss, cost, damage, or expense resulting at any time from any and all
<br /> causes due to any act or acts,negligence,or the failure to exercise proper precautions,of or by itself or its
<br /> agents or its own employees, while occupying or visiting the premises under and pursuant to the MOU.
<br /> • The Parties and Americorps Members specifically acknowledge and agree that Americorps Members are
<br /> not employees of the City of Redwood City and are not entitled to, nor do they obtain, any rights or
<br /> benefits conferred upon Redwood City employees.
