_�.__ ..��..�_.,� ...�...��....�.Y..�.�..�.�.. ._ � .��» . __�_ �_ . v, __ , _ _ <br /> � ��RIGINI�� <br /> FIRST AMENDMENT TO THE <br /> LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY <br /> AND <br /> RUDOLPH AND SLETTEN, INC. <br /> THIS AM ME T NO. 1 TO LICENSE AGREEMENT ("Amendment") is entered into <br /> as � day of ' , 2013 (the "Effective Date"), by and between THE CITY OF <br /> REDWOOD CITY, a c arter city and municipal corporation of the State of California ("CITY"), <br /> and RUDOLPH AND SLETTEN, INC, a California corporation ("LICENSEE"). <br /> RECITALS <br /> A. CITY and LICENSEE entered into that certain "License Agreement", dated January 28, <br /> 2013, granting LICENSEE the temporary right to use a portion of the City Property <br /> located at 707 and 777 Bradford Street, California ("Original City Property"), for <br /> years. <br /> B. LICENSEE has requested additional space on the City's property as more particularly <br /> described in Exhibit A attached hereto and incorporated herein by reference <br /> ("Expansion Space"), to accommodate these trailers for up to three months. <br /> C. The Expansion Space is currently unimproved land with a gravel surface. <br /> D. CITY is willing to provide to LICENSEE a license to use the Expanded Space along with <br /> the Original City Property already licensed on the terms set forth herein. <br /> AGREEMENT <br /> NOW, THEREFORE, for good and valuable consideration, receipt of which is hereby <br /> acknowledged, the parties agree as follows: <br /> 1. Temporarv Expansion. <br /> a. Expansion Space. Effective as of the Amendment Commencement Date <br /> (defined below), CITY confers to LICENSEE a revocable, personal, non-exclusive and non- <br /> possessory privilege to enter upon and use that certain Expansion Space consisting of <br /> approximately 3,000 square feet, for the limited purpose and subject to the terms, conditions <br /> and restrictions set forth below. This Amendment gives LICENSEE a license to the Expansion <br /> Space only and notwithstanding anything to the contrary herein, this license does not constitute <br /> a grant by CITY of any ownership, leasehold, easement or other property interest or estate <br /> whatsoever in the Expansion Space, or any portion thereof. Nothing in this Amendment shall be <br /> construed as granting or creating any franchise rights pursuant to any federal, state or local <br /> laws. LICENSEE accepts the Expansion Space in its "AS IS" condition, without representation <br /> or warranty of any kind by CITY, its officers, agents or employees, and subject to all applicable <br /> laws, rules and ordinances governing the use of the Expansion Space.
