6.1.D. - Page 129 15. Jurisdiction and Venue. Any action a� law or in equity brot�ght by either of the Par�ies for tl�e purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of eompetenfi jurisdietion in the County of San Mateo, State of Cafifornia, and fhe Parties wai�e all pro�isions of law providing for a change of venue in these proceedings to any other county. 16. Paragraph Headings. Paragraph headings as used herein are for convenier�ce only and wifl not be deemed to be a pa�t of such paragraphs ar�d will �tot be co�strued to change the meaning thereof. 17. Entire Agreemer�t. This Agreemen�, #ogether with any other written documer�t referred to or contemplated �y it, along with the purchase order for th�s Agreement and its provisions, embady the entire agreemen# and unde�star�ding betweer� the parties relating ta fhe subject matter of it. Neither this Agreement nor any of its pro�isions may be amended, modified, waived or discharged excep# in a writing s�gned by both parties. 1 S. Severabilitv. The pro�isions of t�is Agreement shall be severable and i� any phrase, clause, sectior�, subsection, paragraph, subdivision, senter�ce or provision is adjudged invalid or unconstitutior�al by a court of competent jurisdiction, or t�e applicabi[ity to any Property Owner is held invalid, fhis shall not afFect or ir��alidate tl�e remainder of any phrase, clause, section, subsection, paragraph, subdivisior�, ser�fence or pro�ision of this Agreement. 19. Co�enant Running with the Land. This Agreemer�t will be recorded by the City ir� the County Recorder's �ffice of the County of San Mateo, Califorr�ia at the Property Qwr�er`s exper�se. The co�enants and agreements contained herein shall be deemed to be cavenants runnir�g with Title to the land for the benefit of the Cify and i�s successars. 20. Release of Aqreement. In the ever�t that the City determines that the stormwater treatment meas�res located on tF�e Property are no longer required, then the City, at the request of the Property Owner shall exec�te a release of this Agreement, whic� the Property Owner shall record in the County Recorder's Office at the Property Owner's expense. The City reserves the option to recard such release of this Agreement. The stormwater treatment measure(s) shafE not be remo�ed fram the Property unless s�ach a release is so executed ar�d recorded.
