6.1.D. - Page 3 <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> Wells Fargo Merchant Services <br /> THIS AGREEMENT is made and entered into as of the day of <br /> , 2013, by and between the CITY OF REDWOOD CITY, a charter <br /> city and municipal corporation of the State of California ("City"), and Wells Fargo <br /> Merchant Services, L.L.C. and Wells Fargo Bank, N.A. (collectively, "Bank"). <br /> RECITALS <br /> A. City requires the professional services of a merchant services provider. <br /> B. Bank has the necessary experience in providing professional services and <br /> advice. <br /> C. Selection of Bank is expected to achieve the desired results in an <br /> expedited fashion. <br /> D. Bank has submitted a proposal to City and has affirmed its willingness and <br /> ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Bank to perform, and Bank agrees to render, the <br /> following Services (hereinafter referred to as "Services"): Bank shall process merchant <br /> transactions for City allowing City to accept payments to City by credit card and debit <br /> card, including Visa, MasterCard, and other credit cards. These credit card and debit <br /> card payments are used by customers to pay for utility services, development fees, <br /> recreation classes, parking fees, library fines, and for other uses. "Services" shall also <br /> include Bank's responsibility to clear credit and debit card transactions with the card <br /> issuers and fund the City for gross receipts (less returns) as batches are received from <br /> the City. <br /> 2. Standard of Performance. While performing the Services, Bank will exercise the <br /> reasonable professional care and skill customarily exercised by reputable members of <br /> Bank's profession practicing in the urban Northern California Area, and will use <br /> reasonable diligence and best judgment while exercising its professional skill and <br /> expertise. <br /> 3. Term. Unless earlier terminated, the term of this Agreement will be effective for a <br /> period of one year from the date first above written. The City Manager may amend the <br /> Agreement to extend it for one additional one year period. Extensions will be based <br /> upon a satisfactory review of Bank's performance, City needs, and appropriation of <br /> funds by the City.
