6.1.D. - Page 7 <br /> Except as otherwise stated, all notices to be provided or that may be provided under <br /> this Agreement must be in writing and delivered by regular and certified mail. Each <br /> party will notify the other immediately of any changes of address that would require any <br /> notice or delivery to be directed to another address. <br /> 14. General Compliance with Laws. Bank will keep fully informed of federal, state <br /> and local laws and ordinances and regulations which in any manner affect the <br /> performance of the Services by Bank. Bank will at all times observe and comply with <br /> these laws, ordinances, and regulations and will be responsible for compliance with all <br /> applicable laws, ordinances and regulations. <br /> Bank will keep fully informed of federal, state and local banking laws and ordinances <br /> and regulations which in any manner affect the performance of the Services by Bank. <br /> Bank will at all times observe and comply with these laws, ordinances, and regulations. <br /> 15. Discrimination and Harassment Prohibited. Bank will comply with all applicable <br /> local, state and federal laws and regulations prohibiting discrimination and harassment. <br /> 16. Termination. In the event of the Bank's failure to prosecute, deliver, or perform <br /> the Services, City may terminate this Agreement for material nonperformance by <br /> notifying Bank in writing pursuant to the notice provisions of this Agreement. <br /> If City decides to abandon or postpone the work or services contemplated by this <br /> Agreement, City may terminate this Agreement upon written notice to Bank pursuant to <br /> the notice provisions of this Agreement. Termination will be effective immediately upon <br /> notification. <br /> Early Termination Fee. Notwithstanding any contrary formula for calculation of the early <br /> termination fee provided in the Program Guide, the parties agree that in the event CITY <br /> terminates the Agreement prior to the end of the initial term, CITY shall be obligated to <br /> pay an early termination fee equivalent to 0.03% of the annual Net Credit Card and <br /> Non-PIN Debit (MasterCard/Visa/Discover Network) volume for the preceding twelve <br /> (12) months. <br /> 17. Covenants aqainst Continqent Fees. Bank warrants that Bank has not employed <br /> or retained any company or person, other than a bona fide employee working for Bank, <br /> to solicit or secure this Agreement, and that Bank has not paid or agreed to pay any <br /> company or person, other than a bona fide employee, any fee, commission, percentage, <br /> brokerage fee, gift, or any other consideration contingent upon, or resulting from, the <br /> award or making of this Agreement.
