6.1.E. - Page 3 <br /> AMENDMENT NQ. 1 TO EXTEND AND AMEND AGREEMENT FOR. <br /> Prvfessional Services <br /> (CSG Consultants, Ir�c.) <br /> This Amendment No. 1 is entered into and effective as ofi the day of <br /> , 2013, extending and amendin� �he agreement dated May <br /> 23, 20'12 (the "Agreement"} by and between tl�e City of Redwood City, a charter city and <br /> municipal corporation of the State of Califorr�ia ("City"), and C5G Consultants, Inc., <br /> ("Consultant"} (collecfively, the "Parties") for Professional Services. <br /> REClTALS <br /> A. On May 23, 2012, the Parties executed Agreement for Professior�al <br /> Services (Agreemer�t); and <br /> B. The Parties ha�e negotiated and agreed to amendments attached to and <br /> �ncorporated in by referenes as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in considerafion of these recitals and the mutual cover�ants <br /> contained herein, the Parties agree as follows: <br /> 1. That the Agreement, as may have beer� amended from time to time, is <br /> hereby extended for a period ending on June 30, 2013. <br /> 2. In addition to tht�se services contained in the Agreement, as may have <br /> been amer�ded firom time to time, Cons�ltant will provide those services described in <br /> Exhibit "A.° <br /> 3. City will pay Consultant for al[ woric associated with thase services <br /> described in Exhibit "A" on a time and materials basis not-toWexceed One Hundred Forty <br /> Five Thousand and 001100 dollars ($�45,000.00), for an a�gregate amour�t of <br /> $200,OOQ.DO. Consultant will provide City, on a mont�tly basis, copies of invoices <br /> sufFiciently detailed to incl�ade hours perform�d, haurly rates, an� rela�ed activities and <br /> costs for approval by City. <br /> 4. All other provisions of the Agreement, as may have beer� amer�ded from <br /> time to time, will remain ir� full force and efFect. <br /> 5.
