6.1.F. - Page 3 <br /> AMENDMENT NO 1 TO EXTEND AND AMEND AGREEMENT �OR <br /> Professionat Services <br /> {Sh�ams Coda &Associates, Inc.} <br /> This Amendmer�t No. 1 is entered into and effecti�e as of the day of <br /> , 2013, extending and amending the agreement dated May <br /> 21, 2012 {the "Agreement") by ar�d between the City o# Redwoad City, a charter ci�y and <br /> mur�icipal corporatior� of the State of California ("City"}, and Shums Coda & Associates, <br /> Inc., ("Consultant") {collectively, th� "Parties")for Professional Services. <br /> RECITALS <br /> A. On May 21, 2012, the Par�ies executed the Agreement fvr Pro�essional <br /> Services; and <br /> B. The Parties have negot�ated and a�reed to amendments attached to ancf <br /> ir►corporated in by reference as Exhibit"A," Scope of Ser�ices and �ee. <br /> NOW, THEREFORE, ir� consideratior� of these recitals and the mutua{ covertants <br /> contained herein, the Parties agree as folkows: <br /> 1. That the Agreement, as may have been am�nded from time to time, is <br /> hereby, extended for a period endir�g on June 30, 2013. <br /> 2. In addition ta those services cor�tained in the Agreement, as may have <br /> been amended from time to time, Cansultant will provid� thos� services describ�d in <br /> Exhibit "A." <br /> 3. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed One Hur�dred Forty <br /> Five Thousand and 001100 Doilars ($1�5,oaa.00>, for an aggregate amount of <br /> $200,aao.ao. co���ita�,t will pro�ide City, on a monthly basis, copies o� invoices <br /> suffciently detailed ta incl�de hours perForrrted, hourly rates, artd related activities and <br /> costs for approval by City. <br /> 4. All other provisior�s of the Agreement, as may have been amended from <br /> time to time, w�ll remair� in fufl forc� ar�d effect. <br /> 5. All requisite insurance palicies to be maintained by the Consultant <br /> purs�ant to the Agreemer�t, as may have been amer�ded fram time to �ime, will ir�clude <br /> coverag� for this Am�ndm�nt. <br /> 6.
