6.1.H. - Page 3 <br /> AGREEMENT FOR ARTIST SERVICES <br /> Interplay Design Inc. <br /> THIS AGREEMENT is made and entered into as of the day of <br /> , 201_, by and between the CITY OF REDWOOD CITY, a charter <br /> city and municipal corporation of the State of California ("City"), and InterPlay Design, <br /> I nc. ("Artist"). <br /> RECITALS <br /> A. City requires the professional services of an artist that is experienced in <br /> public sculptures, mosaic artwork, concrete work, and water play features and <br /> fountains. <br /> B. Artist has the necessary experience in providing professional services and <br /> advice. <br /> C. Selection of Artist is expected to achieve the desired results in an <br /> expedited fashion. <br /> D. Artist has submitted a proposal to City and has affirmed its willingness and <br /> ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Artist to perform, and Artist agrees to render, those <br /> services (the "Services") that are defined in attached Exhibit "A," which is incorporated <br /> herein by reference. Artist will be responsible for the professional quality, technical <br /> accuracy and coordination of the Services. Artist will, without additional compensation, <br /> correct or revise any errors or deficiencies in the Services. Artist will keep City informed <br /> on a regular basis that the Services are being performed in accordance with the <br /> requirement and intentions of this Agreement. In the event of a conflict between the <br /> provisions of Exhibit "A" and the terms of this Agreement, the terms of this Agreement <br /> shall prevail. City shall have the right to modify the scope of work to delete tasks in <br /> whole or in part. <br /> 2. Standard of Performance. Artist acknowledges that in entering into this <br /> Agreement the City is relying on Artist's special skills and experience to do and perform <br /> the Services in accordance with best standards of professional practice. While <br /> performing the Services, Artist will exercise the reasonable professional care and skill <br /> customarily exercised by reputable members of Artist's profession practicing in the <br /> urban Northern California Area, and will use reasonable diligence and best judgment <br /> while exercising its professional skill and expertise.
