i 9. Other Consultants. City reserves the right to employ other consultants in connection with the Services. 10. Insurance Coveraqe. Stanford will maintain Worker's Compensation insurance or other coverage on its employees as required by California law, and will self-insure or maintain insurance covering its liability under this Agreement. 11. Intellectual Proc�ertv. It is not anticipated that intellectual property will arise from this project under this agreement however if such interests arise then the parties will enter into good faith negotiations concerning ownership and licensing rights. Stanford represents that all of its employees, students, and consultants who participate in the Research Services will be obligated to assign to Stanford all their rights in patentable or copyrightable Technology. 12. No Warranties. Stanford provides City the rights granted in this Agreement as is and with all faults. Stanford makes no representations and extends no warranties of any kind, either express, or implied. Among other things, Stanford disclaims any express or implied warranty: (a) of inerchantability, of fitness for a particular purpose, (b) of non-infringement or (c) arising out of any course of dealing. 13. Maintenance of Records. Stanford will maintain complete and accurate records with respect to costs incurred under this Agreement. All records will be clearly identifiable. Stanford will allow a representative of City during normal business hours to examine, audit, and make transcripts or copies of records and any other documents created pursuant to this Agreement. Stanford will allow inspection of all work, data, documents, proceedings, and activities related to the Agreement for a period of three (3) years from the date of final payment under this Agreement. 14. Notices. The name of the persons who are authorized to give written notices or to receive written notice on behalf of City and on behalf of Consultant under this Agreement.
