i <br /> 9. Other Consultants. City reserves the right to employ other consultants in <br /> connection with the Services. <br /> 10. Insurance Coveraqe. Stanford will maintain Worker's Compensation insurance <br /> or other coverage on its employees as required by California law, and will self-insure or <br /> maintain insurance covering its liability under this Agreement. <br /> 11. Intellectual Proc�ertv. It is not anticipated that intellectual property will arise from <br /> this project under this agreement however if such interests arise then the parties will <br /> enter into good faith negotiations concerning ownership and licensing rights. Stanford <br /> represents that all of its employees, students, and consultants who participate in the <br /> Research Services will be obligated to assign to Stanford all their rights in patentable or <br /> copyrightable Technology. <br /> 12. No Warranties. Stanford provides City the rights granted in this Agreement as is <br /> and with all faults. Stanford makes no representations and extends no warranties of any <br /> kind, either express, or implied. Among other things, Stanford disclaims any express or <br /> implied warranty: <br /> (a) of inerchantability, of fitness for a particular purpose, <br /> (b) of non-infringement or <br /> (c) arising out of any course of dealing. <br /> 13. Maintenance of Records. Stanford will maintain complete and accurate records <br /> with respect to costs incurred under this Agreement. All records will be clearly <br /> identifiable. Stanford will allow a representative of City during normal business hours to <br /> examine, audit, and make transcripts or copies of records and any other documents <br /> created pursuant to this Agreement. Stanford will allow inspection of all work, data, <br /> documents, proceedings, and activities related to the Agreement for a period of three <br /> (3) years from the date of final payment under this Agreement. <br /> 14. Notices.
