ORIGINAL <br /> AGREEMENT FOR MARINA MANAGEMENT SERVICES <br /> (SURGE PROJECT MANAGEMENT) <br /> T IS AGREEMENT is made and entered into as of the — day of <br /> , 2013, by and between the CITY OF REDWOOD CITY, a charter <br /> city and municipal corporation of the State of California ("City"), and ALEX KOZLOV, an <br /> individual doing business as SURGE Project Management ("Manager") (collectively, the <br /> "Parties"). <br /> RECITALS <br /> A. City is the owner of the certain real property, together with improvements <br /> thereon, located in Redwood City, commonly known as Docktown ("City Property"), as <br /> more particularly described in Exhibit "A". <br /> B. The City Property is improved with the following marina facilities, including <br /> docks, utility facilities, and other infrastructure supporting the berthing of boats. <br /> C. City requires the professional services of a professional management <br /> company to assist the City in managing the City Property. <br /> D. Manager has the necessary experience in managing facilities, including <br /> restoration of dock facilities, developing and managing maintenance programs, <br /> producing scopes of work, and managing service contracts and construction budgets. <br /> E. Selection of Manager is expected to achieve the desired results in an <br /> expedited fashion. <br /> F. Manager has submitted a proposal to City and has affirmed its willingness <br /> and ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> and agreements contained herein, the Parties agree as follows: <br /> 1. Scope of Work. City retains Manager to perform, and Manager agrees to render, <br /> those services (the "Services") that are defined in attached Exhibit "B," which is <br /> incorporated by this reference in accordance with this Agreement's terms and <br /> conditions. <br /> 2. Standard of Performance. While performing the Services, Manager will exercise <br /> the reasonable professional care and skill customarily exercised by reputable members <br /> of Manager's profession practicing in the Metropolitan Northern California Area, and will <br /> use reasonable diligence and best judgment while exercising its professional skill and <br /> expertise.
