03/25/2013 <br /> Responsibilities of the Members of the Financing Team <br /> Financial Advisor -William Euphrat Municipal Finance, Inc. <br /> Assist in assembling the finance team (bond counsel, disclosure counsel, <br /> underwriter, trustee, and other service providers). <br /> Prepare a schedule of events for accomplishing the proposed financing. <br /> Meet and confer with appropriate parties to assure timely completion of all <br /> financing documentation and submission of all notices and publications in a <br /> timely basis. <br /> Participate with the bond counsel, disclosure counsel, and staff in structuring the <br /> bonds and providing for their timely issuance. <br /> PerForm all bond structuring and refunding analyses. <br /> Assist with the preparation and distribution of the preliminary official statement, <br /> the notice of sale and the final official statement. <br /> Arrange all details in connection with an internet-based, competitive bond sale. <br /> Verify the winning and cover bids, and resize and re-distribute bond principal <br /> among maturities as necessary to achieve refunding objectives. <br /> Arrange for verification of bond refunding numbers and the purchase of refunding <br /> escrow securities. <br /> Coordinate all activities necessary for a timely bond closing. <br /> Bond Counsel — Nossaman LLP <br /> Draft all legal documents required for the issuance of the bonds. <br /> Participate with the financial advisor, underwriter, and staff in structuring the <br /> issuance of bonds. <br /> Assist in the preparation of the official statement and supporting documentation <br /> relating to the sale of the bonds. <br /> Prepare necessary bond resolutions and underlying bond documentation as are <br /> customarily prepared by bond counsel. <br /> Coordinate the preparation and execution of all necessary underlying <br /> documentation. <br /> r <br /> Render necessary legal opinions related to the issuance of the bonds. <br /> Page 1 of 2 <br /> RESO.
