i <br /> 6.1.D. - Page 4 ''i <br /> First Amendment�o t�e Memorandum oF Understanding for the <br /> IVlakmg t`he Last Mi/e Connection Pilot Program � <br /> ; <br /> THIS FIRST AM�NDM�NT �o the Memorandum o� Ur�derstanding (MOU) for ti�e Making the Last � <br /> Mile Connection Pilot Program (Project) is made as of the _ day of , 2012, by and ; <br /> between San Mateo County Transit District (pistrict), the Per�insula TrafFic Congestion Relief <br /> Alliance {Alliance), �he Cour�ty of San Mateo (County) and the City of Redwaod City (City}, each i <br /> of which is referred to harein indi�idually as "Parry" ar�d jointly as"Parkies." <br /> WHEREA5, the Parties �ntered into the MOtI on September 12, 2011; and ; <br /> WH�REAS, the Project is funded by �he Metropolitar� Transportation Commission (MTC) <br /> through MTC's Ciima�e Ini�iatives Grant, which funds o�iginate from the �ederal Transit i <br /> Admir�istration {�TA}; ar�d , <br /> � <br /> WHEREAS, the DisYrict, as the recipient of F�A funds, is the lead agency for the Project <br /> and therefore must ensure that the Parties, as sub-recipients ofi FTA funds, are compliant with ; <br /> all appiicable FTA requirements; and . <br /> ; <br /> WHEREAS, the Parties now desire ta amend �he MOU in order ta clarify �hat a!I <br /> applicable sub-recipient F7A-related raquiremer�fs will be camplied with; and <br /> WMEREAS, the Parties further desire to amend the MOU in arder ta clarify the scope af <br /> work, revise the budget, anc! revise �he project sched�le. <br /> NOW, TH�REFORE, THE PARTIES AGREE AS FOLt,QWS: <br /> 1. Article II, FUNDING AND M�THOD OF PAYM�NT, of the MOU is amended by revising <br /> Attachment B — Budget, which is atkached here�o and ir�corporated hereirt 6y this reference, <br /> and by adding the foElowing two paragraphs ta the end o��he Article: <br /> In accordance with federal requirements, ali costs incurred in the perFormance <br /> of �his MOU wili be subject to audit. All authorized representatives of the <br /> District, the FTA, the State Audi�or and the Comptroller General nf the tJnited <br /> States shall be granfied access to Project records. Ti�e Parties shall alsa provide <br /> such assistance as may be required in the course of such audit. The Parties <br /> shall retain Project records and make them availab(e �or inspection hereunder <br /> for a period of three (3) years after �xpiration or terminatian af the MOU. <br /> i <br /> Grant funding for the Project is provided �y the Federal Highway Administration <br /> (FHWA}/FfA Congestion Mitigation and Air Quality Impro�ement {CMAQ) <br /> program which requires a!1 CMAQ rr�anies to be expended within three years of <br /> the obligation date of the grant. The Praject was abligatec[ by FfA an <br /> S�ptember 20, 2011; funding therefore expir�s Sep�ember �9, 20i.4.
