For exarnple, one agency <br /> inay cbange its mind and wish to pursue a co�trse that is adverse to the interests of another <br /> agency,and the confli�t may becoine tu�waivable. In that ca�e, LCW would likely need to <br /> withdraw from representing both agencies concerning the cantracting out process. <br /> It is furthez�ut�derstood and agreed that LCW may freeiy convey necessary information <br /> provided to us by one agency to the other, and that there will be no secrets as between both <br /> agencies concerning the labor and persoi�el issues presented by the contracting out process <br /> unless botli agencies expressly agee to the contrary. <br /> Accordingly,this eon�irms the infonned consent by the City of San Carlos and Redwood <br /> City that Liebert Cassidy Whitmore may serve as legal counsel to the two agencies in the manner <br /> described above. This will also confirm that each agency agrees to waive any conflict of interest <br /> arising out of trie n�atter descr�bed in tlus letter, and�at you will not object to LCW's <br /> representation of both agencies for this purpase.
