AGREEMENT !� <br /> . ,AAA Fire Protection Services ��, �;� � <br /> ��� <br /> � T I MEN i made and entered into as of the day of <br /> = 013, by and between the City of Redwood City, a charter city <br /> and municipal cor oration of the State of California ("City"), and AAA Fire Protection <br /> Services ("Contra tor"). <br /> RECITALS <br /> A. City requires Contractor's services. <br /> B. Contractor has the necessary experience in providing professional services and <br /> advice. <br /> C. Selection of Contractor is expected to achieve the desired results in an expedited <br /> fashion. <br /> D. Contractor has submitted a proposal to City and has affirmed its willingness and <br /> ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work and Time for PerFormance. Contractor shall perform everything <br /> required to be perFormed, shall provide and furnish all of the labor, equipment, <br /> materials, and tools to perForm, within forty-five (45) calendar days after the <br /> NOTICE TO PROCEED, the following work: <br /> Fire Station No. 10 Sprinkler Upgrades <br /> in strict accordance with building standards and fire protection industry standards <br /> and as described in Exhibit "A", attached hereto and incorporated herein, signed by <br /> the Manager, Engineering and Construction of Redwood City and made a part of <br /> this Agreement as if herein fully set forth. <br /> 2. Compensation. City shall pay to Contractor, as full consideration for the faithful <br /> performance by Contractor of the aforementioned work, the amount of Fifty Three <br /> Thousand Six Hundred Seventy Six and 25/100 Dollars ($53,676.25) computed in <br /> accordance with Contractor's accepted Proposal dated December 20, 2012 which <br /> accepted Proposal is incorporated herein by reference thereto as if herein fully set <br /> forth. <br /> 3. Standard of Performance. All of the work to be done shall be done to the approval <br /> of, City or its authorized representative, and the work shall be done in the best <br /> workmanlike manner, conforming strictly to the provisions of the specifications and <br /> plans made thereof. Work shall be done at times that are agreed to by City. <br /> 4. Labor Code provisions. Contractor shall comply with the provisions set forth in that <br /> document entitled "Labor Code Provisions" which is attached hereto and <br /> incorporated herein by reference. <br /> 5. Liquidated Damages. It is hereby agreed by the parties to the Agreement that in <br /> case all work called for under the Agreement is not finished or completed on or <br />
