Notices. <br /> All written notices to be given hereunder shall be given by certified mail to the <br /> party entitled thereto at its address set forth below, or at such other address as such party may <br /> provide_to the other party in writing from time to time namely: . <br /> If to the City: City of Redwood City <br /> 1017 Middlefield Road <br /> Redwood City,CA 94063 <br /> Attention: Director of Finance <br /> If to the Authority: City of Redwood City Public Financing Authority <br /> , 1017 Middlefield Road <br /> Redwood City, CA 94063 <br /> Attention: City Director of Finance <br /> If to the Trustee: U.S. Bank National Association <br /> One California Street, Suite 1000 <br /> San Francisco,California 94l 11 <br /> Attention: Global Corporate Trust Services <br /> Section 8.11 Amendments <br /> This Installment Purchase Contract may be amended in writing as may be <br /> mutually agreed by the City and the Authority, with the written consent of the Owners of a <br /> majority of the aggregate principal evidenced by the Bonds then Outstanding;provided,however, <br /> that no such amendment shall (i) extend the payment date of any Installment Payment or reduce <br /> the amount of any Installment Payment, or the interest rate applicable thereto, without the prior <br /> written consent of the Owner of each Bond so affected, (ii) reduce the percentage of Owners <br /> whose consent is reyuired for any amendment hereof without the prior written consent of the <br /> Owners of all Bonds then Outstanding, or (iii) amend this Section without the prior written <br /> consent of the Owners of all Bonds then.0utstanding. <br /> This Installment Purchase Contract and the rights and obligations of the City and <br /> the Authority hereunder may also be amended or supplemented at any time by an amendment <br /> hereof or supplement hereto which shall become binding upon execution by the City and the <br /> Authority, without the written consents of any Owners, but only to the extent permitted by law <br /> and only for any one or more of the following purposes - <br /> (i) to add to the agreements, conditions, covenants and terms required <br /> by the Authority or the City to be observed or performed herein other agreements, conditions, <br /> covenants and terms thereafter to be observed or performed by the Authority or the City, or to <br /> surrender any right or power reserved herein to or conferred herein on the Authority or the City, <br /> and which in either case shall not materially adversely affect the interests of the Owners; � <br /> 28 <br /> 338529_I.DOC <br />
