ORIGINAL <br />AMENDMENT NO. 5 TO AGREEMENT <br />FOR PROFESSIONAL SERVICES <br />(Krupka Consulting) <br />of Q T i Amend ent No. 5 (the "Amendment No. 5") is entered into and effective as <br />2019, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and Krupka Consulting, a sole <br />proprietorship ("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services, dated as of May 22, 2013, (the "Original Agreement'). <br />B. The Parties previously amended the Original Agreement by executing <br />Amendment No. 1 (dated October 14, 2013), Amendment No. 2 (dated August 4, 2015), <br />Amendment No. 3 (dated March 3, 2017), and Amendment No. 4 (dated July 28, 2017). <br />The Original Agreement and Amendment No. 1 through Amendment No. 4 are hereafter <br />collectively referred to as the "Agreement." <br />C. The design phase of the US 101/84 Interchange Project, for which the <br />Consultant is serving as project manager, is expected to continue for at least one more <br />year and work will continue on right of way acquisition and procuring construction funding <br />beyond that. The City desires the Consultant to continue serving as the project manager. <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 5, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not -to -exceed amount of Two Hundred Eight <br />Thousand Dollars ($208,000) for the completion of all the services described in the <br />Agreement, which sum will include all costs or expenses incurred by Consultant. <br />Including all amendments through Amendment No. 5, the total amount payable under the <br />Agreement will be a not -to -exceed amount of One Million Fifty Thousand Dollars <br />($1,050,000). <br />All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />4. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br />REV: 10-03-19 PR <br />
