<br /> negligence of Licensee. Licensee's Indemnification wiil include any and all costs, expenses, attorneys
<br /> fees and l,iability incurred by City, its Council, agents, officers or employees in defending against such
<br /> claims, whether the same proceed to judgment or not. Licensee will, at its own expense and upon writlen
<br /> request by C'ty, defend ar,y such suit or action brought against City, its Ccuncil, agents, officers or
<br /> f,mploy~ss. T!-'s section \'.'::1 survive the expiration or termination of this Permit,
<br /> 9. Venue. Licensee agrees and hereby stipulates that the proper venue and jurisdiction for
<br /> resclut'on of any disputes between the parties arising out of tr-,is Licer,sa is San Mateo County, Californ'a.
<br /> 10, Insurance. Licensee will acqu:re and maintain Workers' Compensation, employer's
<br /> I:abil:ty, commercial general liability, owned and non-owned and hired automobile liability insurance
<br /> coverage relating to Licensee's use of the Property pursuant to this License, Any insurance carrier is
<br /> required to have a Best's Key Rating of not less than A:VII. The minimum amounts of coverage
<br /> corresponding to the aforesaid categories of insurance per insurable event shail be as follows:

<br /> disease
<br /> Commercial General Liability 51,000,000 per occurrence and 52,000,000

<br /> Automobile Liability 51,000,000 per accident and 52,000,000
<br /> aggregate for bodily injury and property damage
<br /> (coverage required to the extent applicable to
<br /> Licensee's vehicle usage in performing
<br /> services hereunder).
<br /> Licensee will furnish City with certificates and copies of information or declaration pages of the
<br /> insurance required hereunder and, with respect to evidence of commercial general liability and
<br /> automobile liability insurance coverage, original endorsements:
<br /> (a) Precluding cancellation or reduction in coverage before the expiration of thirty (30) days
<br /> after the City shall have received written notification of cancellation or reduction in
<br /> coverage by first class mail;
<br /> (b) Providing that Licensee's insurance shail appiy separately to each insured against whom
<br /> claim is made or suit is brought, except with respect to the limits of the insurer's liability
<br /> (cross liability endorsement);
<br /> (c) Naming City its councils, officers, commissions, employees, and agents, as additional
<br /> insureds; and
<br /> (d) Providing that Licensee's insurance coverage shall be primary insurance with respect to
<br /> Agency and City, their councils, boards, officers, commissions, employees, and agents,
<br /> and any insurance or self-insurance maintained by City, for itself, and its boards,
<br /> commissions, employees, or agents shall be in excess of Licensee's insurance and not
<br /> contributory with it.
<br /> If Licensee fails to maintain any of the insurance coverage required herein, then City will have the
<br /> option to revoke this License, or may purchase replacement insurance or pay the premiums that are due
<br /> on existing policies in order that the required coverage may be maintained. licensee is responsible for
<br /> any payments made by City to obtain or maintain such insurance and City may collect the same from
<br /> Licensee cr deduct the amount paid from any sums due Licensee under this License.
