, O�I V II'�Ib°'�:� <br /> AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEMENT FOR <br /> Professional Services <br /> (CSG Consultants Inc.) <br /> This Amendment No. 2 is entered into and effective as of the �� day of <br /> , 2014, extending and amending the agre m t dated <br /> October 1 , 201 (the " greement") by and between the City of Redwood City, a charter <br /> city and nicipal c poration of the State of California ("City"), and CSG Consultants <br /> In., ("Consultant") (collectively, the "Parties")for professional services. <br /> RECITALS <br /> A. On June 25, 2013, the Parties executed the original Agreement and on <br /> October 18, 2013, Amendment No. 1 for professional services; and <br /> B. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Exhibit"B," Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the total Agreement amount shall not exceed Three <br /> Hundred Sixty Thousand and No/100 Dollars ($360,000.00). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed one hundred eighty <br /> thousand and no/100 dollars ($180,000.00), for an aggregate amount of ($360,000.00). <br /> Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed <br /> to include hours performed, hourly rates as described in Exhibit "B," and related <br /> activities and costs for approval by City. <br /> 3. Consultant will complete all work described in Exhibit "A" by December 31, <br /> 2014. The City Manager may extend the term of this contract for a period of one year, <br /> without an increase to overall compensation. <br /> 4. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 5.
