��t'�iidl'c,.r�� <br /> AMENDMENT NO. 1 TO EXTEND AND AMEND PURCHASING AGREEMENT <br /> (Golden State Flow Measurement Inc.) <br /> This Amendment No. 1 is entered into and effective as of the July 1, 2015, <br /> extending and amending the agreement dated July 1, 2013 (the "Agreement"), by and <br /> befinreen the City of Redwood City, a charter city and municipal corporation of the State <br /> of California ("City"), and Golden State Flow Measurement Inc., a corporation of EI <br /> Dorado Hills, CA ("Vendor") (collectively, the "Parties") for the purchase of automated <br /> water meters. <br /> RECITALS <br /> A. On July 1, 2013, the Parties executed a Purchasing Agreement with <br /> Golden State Flow Measurement Inc., for the purchase of cold water meters and AMI <br /> transceivers fior a 2-year term in the amount of �1,799,950. This Agreement authorized <br /> the City Manager to renew the agreement for two additional finro year terms in an <br /> amount not to exceed $5,750,000; and <br /> B. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," FEE SCHEDULE. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. That the Agreement, as may have been amended from time to time, is <br /> hereby extended for a period of finro years ending on July 1, 2017 and Vendor will be <br /> paid a not to exceed amount of finro million sixty-two thousand dollars ($2,062,000), <br /> resulting in a total contract price of$3,861,950. <br /> 2. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in r,all force and effect. <br /> 3. All requisite insurance policies to be maintained by the Vendor pursuant to <br /> the Agreement, as may have been amended from time to time, will include coverage for <br /> this Amendment. <br /> 4.
