ORIGINAL <br /> AMENDMENT NO. 2 TO EXTEND AND AMEND PURCHASING AGREEMENT <br /> (Golden State Flow Measurement Inc.) <br /> This Amendment No. 2 is entered into and effective as of the n day of <br /> , 2018, extending and amending the agreement dated July <br /> 1 , 2013 P e "Agreement") by and between the City of Redwood City, a charter city and <br /> municipa corporation of the State of California ("City"), and Golden State Flow <br /> Measurement Inc. , a corporation of California ("Vendor") (collectively, the "Parties") for <br /> the purchase of water meters. <br /> RECITALS <br /> A. On July 1 , 2013, the Parties executed a Purchasing Agreement; and <br /> B . On July 1 , 2015, the Parties executed Amendment No. 1 to the <br /> Purchasing Agreement; and <br /> C. On July 1 , 2017, the Parties verbally extended the Agreement and desire <br /> to memorialize the terms of that verbal agreement; and <br /> D. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Fee Schedule. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein , the Parties agree as follows: <br /> 1 . That the Agreement, as may have been amended from time to time, is <br /> hereby extended for a period of two (2) years ending on July 1 , 2019 and Vendor will be <br /> paid a not to exceed amount of One Million Eight Hundred Eighty-eight Thousand Fifty <br /> Dollars ($1 ,888,050). With this Amendment, the total Agreement amount shall not <br /> exceed Five Million Seven Hundred Fifty Thousand Dollars ($5,750,000). The purchase <br /> price for the Goods and Services shall be on a cost per material basis, as delineated in <br /> Exhibit "A". <br /> 2. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 3. All requisite insurance policies to be maintained by the Vendor pursuant to <br /> the Agreement, as may have been amended from time to time, will include coverage for <br /> this Amendment. <br /> 4.
