(b) City will allocate to Contractor the sum of Two Hundred <br /> Thousand and no/100 Dollars ($200,000)for exclusive use by Contractor during <br /> the fiscal years commencing July 1, 2014, and ending June 30, 2016, solely for <br /> the purposes described in Paragraph 2(b). The CDBG financial assistance <br /> from the City shall be evidenced by a Promissory Note in favor of the City, in <br /> the form attached hereto as Exhibit "F" (the "Additional Promissory Note") and <br /> secured by the Deed of Trust. The Additional Promissory Note shall provide <br /> that the loan be deferred of payments for a term of thirty 30 years at zero <br /> percent (0%) interest, except in the case of default as hereinafter provided, and <br /> shall be repaid in full at the end of the Additional Loan Term, except in the case <br /> of a default as hereinafter provided in which case repayment may be <br /> accelerated. For the purposes of this Agreement, the "Additional Loan Term" <br /> shall be the date which is thirty (30) years from the date of Project Completion. <br /> 4. Amendments to Paraqraph 2. Use of Funds. All of Original Agreement <br /> Paragraph 2 (Use of Funds) after the title is hereby designated as subparagraph (a), the <br /> reference to "Paragraph 1" is hereby revised to read "Paragraph 1(a)", and the following is <br /> hereby added as a new subparagraph (b): <br /> (b) Contractor will use the funds provided pursuant to Paragraph 1(b) <br /> solely for the Project purposes described in Exhibit A (and Exhibit E if <br /> applicable), attached hereto and by this reference incorporated herein. <br /> Contractor shall perform services as described in Exhibit E in consideration of the <br /> payments set forth in Paragraph 4(b). <br /> 5. Amendments to Paraqraph 4. Pavments. All of Original Agreement Paragraph <br /> 4 (Payments) after the title other than the last two sentences is hereby designated as <br /> subparagraph (a), the last two sentences are hereby designated as subparagraph (c), and the <br /> following is hereby added as a new subparagraph (b): <br /> (b) No more frequently than monthly, Contractor may submit expense <br /> documentation, including invoices, proof of payment and a schedule of <br /> expenditures including sources and uses, in form and substance reasonably <br /> satisfactory to City's Housing Manager for payment in accordance with the <br /> provisions of Exhibit E. Provided that the Contractor has complied with all <br /> conditions precedent, the City shall pay to Contractor up to a total of $200,000 <br /> within 30 days of receiving each payment request. City shall not be obligated to <br /> pay Contractor for the services covered by any invoice if Contractor presents the <br /> invoice to City on or after June 30, 2016. <br /> 6. No Other Modifications. Except as specifically modified herein, the Original <br /> Agreement remains in full force and effect. To the extent that any provision of this Amendment <br /> conflicts with any provisions of the Original Agreement, this Amendment shall control. <br /> 7. Miscellaneous. The individuals executing this Amendment and the instruments <br /> referenced in it on behalf of Contractor each represent and warrant that they have the legal <br /> power, right and actual authority to bind Contractor to the terms and conditions of this <br /> Amendment.
