3.4.8 Insurance Documents. The Developer delivers the Insurance <br /> Documents and the City has approved all such evidence of insurance,all pursuant to Section 2.6; <br /> 3.4.9 Payment and Performance Bonds. The Developer shall deliver to the <br /> City payment and performance bonds pursuant to Section 4.63; <br /> 3.4.10 Developer Equity. The Developer has delivered evidence of the <br /> Developer Equity Investment and the City has approved such evidence, all pursuant to Section <br /> 2.6; <br /> 3.4.11 Developer's Escrow Deposits. The Developer deposits all of the items <br /> into the Escrow required by Section 3.5; <br /> 3.4.12 SettlemendClosing Statement. The City approves the Escrow Agent's <br /> ! final estimated closing/settlement statement; <br /> 3.4.13 Consistencv Finding. The Planning Commission of the City has <br /> ' determined that the disposition of the City Property to the Developer pursuant to this Agreement <br /> is consistent with the City's General Plan,in accordance with Govemment Code Section 65402; <br /> 3.4.14 ParkinQ Covenant and Agreement. The parties have executed and <br /> deposited into Escrow the Parking Covenant and Agreement in substantially the form attached <br /> hereto as Exhibit I; <br /> 3.4.15 License A�reement for Winslow Lot. The parties have executed and <br /> deposited into Escrow the License Agreement for Winslow Lot in substantially the form attached <br /> hereto as Exhibit J; <br /> 3.4.16 Environmental Holdback A�xeement: The parties have executed and <br /> deposited into Escrow the Environmental Holdback Agreement in substantially the form attached <br /> hereto as Exhibit K; and <br /> 3.4.17 Develoger's Material Obli at� ions. The Developer performs all of its <br /> other material obligations required to be performed by the Developer under this Agreement prior <br /> to the Close of Escrow. <br /> 3.5 Developer's Escrow Deposits. At least one (1) business day prior to the Escrow <br /> Closing Date, the Developer shall deposit the following described funds and documents into the <br /> Escrow,or deliver to the City, as applicable: <br /> 3.5.1 Purchase Price. The Purchase Price, plus any additional funds <br /> required to be deposited into the Escrow; <br /> 3.5.2 PCO Report.
