RECORDING REQUESTED BY ) <br /> AND WHEN RECORDED MAIL TO: ) <br /> (Space Above Line For Use By Recorder) <br /> [Recordation of this Document Is <br /> Exempt From Fees Payable to the <br /> Recorder Under Government <br /> Section Code 27383] <br /> CITY OF REDWOOD CITY <br /> Notice of Agreement <br /> TO ALL INTERESTED PERSONS PLEASE TAKE NOTICE that as of , <br /> 2013, Redwood City Partners, LLC, a Delaware limited liability company(the"Developer") and <br /> the City of Redwood City, a charter city and California municipal corporation (the "City"}, <br /> entered into an agreement entitled "Disposition and Development Agreement" (the <br /> "Agreement"). A copy of the Agreement is on file with the City Clerk and is available for <br /> inspection and copying by interested persons as a public record of the City duting the regular <br /> business hours of the City. <br /> The Agreement affects the real property(the "Site") described in Exhibit "A" attached to <br /> this Notice of Agreement. The meaning of defined terms used in this Notice of Agreement shall <br /> be the same as set forth in the Agreement. <br /> Section 1. PLEASE TAKE FURTHER NOTICE that the Agreement contains certain <br /> covenants running with the land and other agreements between the Developer and the City <br /> ' affecting the Site, including,without limitation, (all section references are to the Agreement): <br /> ,' "5.1 No Conveyance to Tax Exempt Entity. <br /> 5.1.1 Covenant. The Developer covenants and agrees that during the Covenant <br /> Period, neither the Developer, nor its successors or assigns shall Transfer all or <br /> any portion of the Site or the Project to any Person or use all or any portion of the <br /> Site or the Praject for any use, that is partially or wholly exempt from the <br /> payment of property taxes or that would cause the exemption of the payment of <br /> all or any portion of property talces otherwise assessable regazding the Site or the <br /> Project, without the prior written consent of the City,prior to the expiration of the <br /> Covenant Period. <br /> Exhibit"F" <br /> Form Of Notice Of Agreement <br /> Page 2 <br /> 2013.118/BLOCK 2 HUNTER STORM <br /> ' REV:07-2&13 PT <br />
