� p�IGIN��- S AGREEMENT Columbia Electric, Inc. THIS AGREEMENT is made and entered into as of the�day of , 2013, by and befinreen the City of Redwood City, a charter city and municipal corporation of t S at of California("City"), and Columbia Electric, Inc.("Contractor"). RECITALS A. City requires Contractor's services. B. Contractor has the necessary experience in providing professional services and advice. C. Selection of Contractor is expected to achieve the desired results in an expedited fashion. D. Contractor has submitted a proposal to City and has affirmed its willingness and ability to pertorm such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scope of Work and Time for Pertormance. Contractor shall perform everything required to be performed, shall provide and furnish all of the labor, equipment, materials, and tools to perform, within ninety (90) calendar days after the NOTICE TO PROCEED, the following work: NORTH-SOUTH BIKE ROUTE IMPROVEMENT PROJECT MIDDLEFIED ROAD,WINSLOW STREET, BROADWAY,ARGUELLO ROAD, D STREET AND STAFFORD WAY, REDWOOD CITY in strict accordance with the Plans, Contract Documents and Specifications pertaining thereto as described in Exhibit "A", attached hereto and incorporated herein, signed by the Manager, Engineering and Construction of Redwood City, which Documents are incorporated herein and made a part of this Agreement as if herein fully set forth. 2. Compensation. City shall pay to Contractor, as full consideration for the faithful performance by Contractor of the aforementioned work, the amount of Fifty Five Thousand Five Hundred Fifty Nine and 00/100 Dollars ($55,559.00) computed in accordance with Contractor's accepted Proposal dated May 31, 2013 which accepted Proposal is incorporated herein by reference thereto as if herein fully set forth. 3. Standard of Performance. All of the work to be done shall be done to the approval of, City or its authorized representative, and the work shall be done in the best workmanlike manner, conforming strictly to the provisions of the specifications and plans made thereof. Work shall be done at times that are agreed to by City. 4. Labor Code provisions. Contractor shall comply with the provisions set forth in that document entitled "Labor Code Provisions"which is attached hereto and incorporated herein by reference. 5. Liquidated Damages. It is hereby agreed by the parties to the Agreement that in case all work called for under the Agreement is not finished or completed on or before the time set forth in this Agreement, damage will be sustained by City, and that it is and will be impracticable and extremely difficult to ascertain and determine the actual damage which the City will sustain in event of and by reason of such delay; it is therefore agreed Contractor will pay to City the sum calculated at the rate of Five hundred and 00/100 Dollars ($500.00) per day as liquidated damages for each and every calendar day's delay in finishing the work in excess of the number of days prescribed, and Contractor agrees to pay said liquidated damages as herein provided, and in case the same are not paid, agrees that City may deduct the amount thereof from any monies due or that may become due under this Agreement. It is further agreed that in case the work called for under this Agreement is not completed in all of its parts and requirements within the number of calendar days specified, City shall have the right to increase the number of calendar days or not, as may seem best to serve the interest of City; and if it is decided to AGREEMENT � NORTH-SOUTH BIKE ROUTE IMPROVEMENT PROJECT
