a. Licensor acknowledges and agrees that the improvements on the Property and any <br /> and all personal property remaining on the Property are of no value to Licensor. <br /> Licensor intends to demolish all improvements on the Property in August 2013. tt <br /> being understood by Licensor and Licensee that Licensee's Training will inherently <br /> cause damage to the Property and any personal property remaining on the <br /> Property, Licensee shall have absolutely no obligation to maintain and keep the <br /> Property in the same condition as it existed immediately prior to Licensee's use <br /> thereof. Licensee shall not repair any damage Licensee causes to the Property by its <br /> and its trainees' use, and neither Licensee nor its trainees shall be liable to Licensor <br /> for any damage caused to the Property or any personal property remaining on the <br /> Property during Licensee's use thereof. Licensor hereby waives, releases and <br /> discharges any and all claims for property damage against Licensee and its trainees, <br /> which Licensor may have or which may accrue as a result of Licensee's Training use <br /> on the Property. <br /> 4. RELEASE OF LIABILITY AND HOLD HARMLESS. <br /> a. Licensee shall be responsible for the acts and omissions of all of Licensee's trainees, <br /> and shall ensure that they do not do anything upon the Property which Licensee is <br /> not allowed to do under this License. Further, Licensee shall faithfully observe and <br /> comply with any and all rules and regulations, including sound Training practices, in <br /> its use of the Property. <br /> b. Licensee shall defend, indemnify, protect and hold harmless Licensor from and <br /> against any and all losses, damages, liability, claims, demands, obligations, causes of <br /> action,judgments, costs, settlements or expense of any kind or character(including <br /> attorney's fees and costs) resulting from bodily injury or death caused by Licensee's <br /> Training use on the Property, except to the extent that any such loss or damage is <br /> caused by the active negligence, sole negligence of willful misconduct of Licensor. <br /> 5. MISCELLANEOUS. <br /> a. This License shall be governed by the laws of the State of California, and shall be <br /> binding upon and inure to the benefit of the parties hereto and their respective <br /> successors, transferees and assigns. This License contains the entire agreement of <br /> the parties relating to licensee licensing the Property from Licensor for Licensee's <br /> Training. Any oral understanding or oral agreement, if any, between Licensor and <br /> Licensee, which is not incorporated herein, shail not be binding or Licensor or <br /> Licensee. This License cannot be amended, or any right or provision waived, except <br /> by a written document signed by both parties. <br /> b.
