City Draft <br /> 6/28113 <br /> 1.1.80 "Noti 'means give a Notice. <br /> 1.1.$1 "Parkin� Covenant and A�reement" shall mean that agreement <br /> attached hereto as Exhibit I and incozporated herein by reference. <br /> 1.1.82 "Parkin� Facilities A�reement" means that certain Parking Facilities <br /> Agreement, dated July 12, 2004, between the City an� On Broadway Redwood City, LLC, as <br /> arnended by a First Amendment to Parking Facilities Agreernent dated September 11,2007. <br /> 1.1.83 "PCO Re�art" means a preliminary c�Zange of ownership report <br /> required under California Revenue and Taxa�ion Code Section 480.3. <br /> 1.1.84 "Performance Schedule" means the schedule for the performance of <br /> certain actions by the City or the Developer, pursuant to the terms and conditions af this <br /> Agreement, attached to this Agreement as Exhibit D. <br /> 1.1.85 "Peimitted Encumbrance" means any Mortgage and any other <br /> document required or allowed to be recorded against the Site by #�ae express terms of this <br /> Agreement. <br /> 1.1.86 "Permitted Exc tions" means: (i) any and all items shown in <br /> Schedule B of the Preliminary Report as exceptions to coverage under the proposed Title Policy <br /> that the Developer does not disapprove or conditionally approve or that are otberwise accepted or <br /> consented to by the DeveZoper; (ii)any exceptions from coverage under the proposed Title <br /> Poiicy resulting frorn the Developer's acti�ities on the Site; (iii) any lien for non-delinquent <br /> property taxes or assessments; (iv) any Laws applicable to the Site; (v)this Agreement; (vi)the <br /> City Deed; or(vii) any other matter provided for in this Agreement. <br /> 1.1.$7 "Permitted Transfer" shail ha�e the meaning set forth ir� Section 8.2.1 <br /> of this Agreement. <br /> 1.1.88 "Person" means any association, corporation, governmental entity or <br /> agency, individual, joint venture, joint-stock company, limited liability company, partnership, <br /> trust,wxincorporated organization, or other entity of any kind. <br /> 1.1.89 "Pre-Closin Li uidated Dama es Amount" means the amount of <br /> Twenty Five Thousand Dollars{$25,000). <br /> 1.1.90 "Precise Plan" means the Downtown Precise Plan, adopted by the City <br /> Council an January 24, 2011. <br /> L 1.91 "Preliminary Reuort" means a preliminary report issue� by the Title <br /> Company in contemplation of the issuance of the Title Policy, accompanied by copies of all <br /> documents listed in Schedule B of the report, as exceptions to coverage under the proposed Ti�le <br /> Policy. <br /> �.1.92 "Prevaalin�age,Action" means: {i} any deterrnination by the State <br /> Department of Industrial Relations that prevailing wage rates should have been paid, but were <br /> 82483.0000917571312.10 ]] <br />
