6.1.C. - Page 4 <br /> AM�NDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFES510NAL SERVICES <br /> (Moore, lacofano and Goltsman, Inc.) <br /> This Amendment No. 1 is erttered into and effective as of the day of <br /> , 2013, extending and amending the agreement dated June <br /> 19, 2013 (the "Agreement") by and betwe�n the City of Redwood City, a charter city and <br /> municipal corporation of the State of California {"City"}, and Moore, lacofano, Galtsman, <br /> Inc., ("Consultant") (collecti�ely, t�e "Parties") for the Inner Harbor Specific Plan. <br /> RECITALS <br /> A. On June 19, 2013, the Parties executed Agreement for Professional <br /> Services; and <br /> B. T�e Parties have negotiated and agreed to amendments attached to and <br /> incorparated in by reference as Exhibit "A," Scope o# Services, and �xhibit "B", Fee <br /> Schedule. <br /> NOW, THEREFORE, in cansideration of these recitals and the mutual cavenants <br /> contained herein, the Parties agree as foflows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> be�n amended fram time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the tota! annual Agreement amount shall not exceed <br /> foUr hundred twenty five tho�sand seven hundred and thirty dollars ($425,730}. <br /> 2. City will pay Cansultant for all work associated with those servaces <br /> described in Exhibit "A" on a time and materials basis not-to-exceed three hundred sixty <br /> five thousand eight hundred forty five dollars ($365,845), for an aggregate amaunt of <br /> ($425,730) based on the Fee Schedule described in Exhibit "B". Consultant will pra�ide <br /> City, an a monthly basis, copies of invoices sufficiently detaifed to include hours <br /> performed, hourly rates, and related ac#ivities and costs for approvai by City. If the cost <br /> for one task excee�s Consultant's estimated budget, the cost for that task may be <br /> moved from another task at the project manager's discretion. <br /> 3. Cansultant wiil complete all work described in Exhibit "A" by May 31, 2014. <br /> Approved subconsultants to be used are Fehr & Peers, BAE Urban Economics and <br /> Fuscoe Engineering. All oth�r subconsultants must be pre-approved by the City. <br /> 4. All ather provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 5. All requisite insurance policies to b� maintained by the Consultant <br /> pursuant to the Agreemen#, as may have been amended from time to tim�, will include <br /> ATTY/AGR/2013.123/MIG Inner Hark�orAmendment No.1 <br /> REV:07-2413 VR <br /> Page 1 of 13 <br />
