' ���/�.�,�.R •� <br /> AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR <br /> Baseline Study Reports <br /> (Environmental Science Associates) <br /> This Amendment No. 1 is entered into and effective as of the � day of <br /> , 2013, extending and amending the agreement dated August 29, <br /> 2013, (the "Agreement") by and between the City of Redwood City, a charter city and <br /> municipal corporation of the State of California ("City"), and Environmental Science <br /> Associates, ("Consultant") (collectively, the "Parties") for Baseline Study Reports related <br /> to the Inner HarborArea. � <br /> RECITALS <br /> A. On August 29, 2013, the Parties executed that certain Agreement for <br /> Professional Services related to Baseline Study Reports; and <br /> B. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee Schedule. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the total Agreement amount shall not exceed Three <br /> Hundred Seventy Six Thousand Eight Hundred and Fifty Five Dollars ($376,855). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" a not-to-exceed amount of Three Hundred Sixteen Thousand <br /> Eight Hundred and Sixty Dollars ($316,860), for an aggregate amount of <br /> $376,855based on the Fee Schedule described in Exhibit "A". Consultant will provide <br /> City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br /> performed, hourly rates, and related activities and costs for approval by City. If the cost <br /> for one task exceeds ConsultanYs estimated budget, the cost for that task may be <br /> moved from another task at the project manager's discretion so long as the total amount <br /> of this Amendment is not exceeded. <br /> 3. Consultant will complete all work described in Exhibit "A" by February 28, <br /> 2015. Approved subconsultants to be used are Fehr and Peers, Fuscoe Engineering <br /> and TRA Environmental. No other subconsultants may perform the Services described <br /> in Exhibit "A" without prior written approval of the City. <br /> 4.
