� 0��;iNAI DOCKTOWN MARINA SUBLICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND PENINSULA YACHT CLUB T LI SE AGREEMENT ("Agreement") is entered into as � day of aJ� , 2013 (the "Effective Date"), by and between THE CITY OF REDWOOD CITY, a ha er city and municipal corporation of the State of California ("CITY"), and PENINSULA YACHT CLUB, a California corporation ("LICENSEE"). RECITALS A. CITY, as Licensee, entered into a 90-day License Agreement dated February 28, 2013 ("Temporary License") for the use of certain Docktown Marina property including the Peninsula Yacht Club site, as more particularly described in Exhibit "A" attached hereto and incorporated herein by reference ("Sublicense Area"). The Temporary License was extended for an additional period until July 1, 2013. B. Since March 1, 2013, LICENSEE has been sublicensing the Sublicense Area, which is improved with a clubhouse and an exterior patio from CITY on a month-to-month basis by verbal agreement to operate the Peninsula Yacht Club. C. CITY, as Licensee, has recently entered into a 1-year pocktown Landside License Agreement dated July 16, 2013 ("License") for the use of the same property which still includes the Sublicense Area. D. CITY is willing to provide to LICENSEE a license to use the Sublicense Area for a yacht club on the terms set forth herein. AGREEMENT NOW, THEREFORE, for valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows: 1. Grant of License. Starting on , 2013 (the "Commencement Date"), CITY confers to LICENSEE a revocable, personal, non-exclusive and non-possessory privilege to enter upon and use the Sublicense Area for the limited purpose and subject to the terms, conditions and restrictions set forth below. This Agreement gives LICENSEE a license only and nofinrithstanding anything to the contrary herein, this License does not constitute a grant by CITY of any ownership, leasehold, easement or other property interest or estate whatsoever in the Sublicense Area, or any portion thereof. Nothing in this Agreement shall be construed as granting or creating any franchise rights pursuant to any federal, state or local laws. THE PRIVILEGE GIVEN TO LICENSEE UNDER THIS AGREEMENT IS EFFECTIVE ONLY INSOFAR AS THE RIGHTS OF CITY IN THE SUBLICENSE AREA ARE CONCERNED, AND LICENSEE SHALL OBTAIN ANY FURTHER PERMISSION NECESSARY BECAUSE OF ANY OTHER EXISTING RIGHTS AFFECTING THE SUBLICENSE AREA. WITHOUT LIMITING THE FOREGOING, THIS LICENSE IS SUBJECT AND SUBORDINATE TO ALL EXISTING DOCUMENTS AND INSTRUMENTS OF RECORD AFFECTING THE SUBLICENSE AREA.
