7.1.C. - Page 3 <br />AMENDMENT NO. 3 TO EXTEND AND AMEND AGREEMENT FOR <br />(Professional Services) <br />(Cultivate, LLC) <br />This Amendment No. 3 is entered into and effective as of the day of <br />, 2013, extending and amending the agreement dated July <br />31, 2012 by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City"), and Cultivate, LLC ("Consultant") <br />(collectively, the "Parties") for Pete's Harbor Project. <br />RECITALS <br />A. On July 31, 2012, the Parties executed Agreement for Professional <br />Services ("Original Agreement"); and <br />B. On February 25, 2013, the Parties executed Amendment No. 1 to Extend <br />and Amend Agreement for Professional Services ("Amendment No. 1 "); and <br />C. On July 18, 2013, the Parties executed Amendment No. 2 to Extend and <br />Amend Agreement for Professional Services ("Amendment No. 2"; the Original <br />Agreement, Amendment No.1 and Amendment No. 2 are collectively referred to herein <br />as the "Agreement"); and <br />D. The Parties have negotiated and agreed to amendments attached to and <br />incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement, Consultant will <br />provide those services described in Exhibit "A." With this Amendment, the total <br />Agreement amount shall not exceed Ninety Four Thousand Five Hundred Dollars <br />($94,500.00). <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis not -to -exceed Thirty Five <br />Thousand dollars ($35,000.00), for an aggregate amount of $94,500.00. Consultant will <br />provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br />performed, hourly rates, and related activities and costs for approval by City. <br />3. Consultant will complete all work described in Exhibit "A". <br />4.
