Section 10.2. Bindin�Effect. This Lease Agreement inures to the benefit of and is <br /> binding upon the Authority,the City and their respective successors and assigns. <br /> Section 10.3. Severabilitv. If any provision of this Lease Agreement is held invalid or <br /> unenforceable by any court of competent jurisdiction, such holding will not invalidate or render <br /> unenforceable any other provision hereof. <br /> Section 10.4. Net-net-net Lease. This Lease Agreement is a "net-net-net lease" and the <br /> City hereby agrees that the Lease Payments are an absolute net return to the Authority, free and <br /> clear of any expenses, charges or set-offs whatsoever. <br /> Section 10.5. Further Assurances and Corrective Instruments. The Authority and the City <br /> agree that they will, from time to time, execute, acknowledge and deliver, or cause to be <br /> executed, acknowledged and delivered, such supplements hereto and such further instruments as <br /> may reasonably be required for conecting any inadequate or incorrect description of the Property <br /> hereby leased or intended so to be or for carrying out the expressed intention of this Lease <br /> Agreement. <br /> Section 10.6. Waiver of Personal Liability. No member, officer, agent or employee of <br /> the City or the Authority shall be individually or personally liable for the payment of Lease <br /> Payments; but nothing herein contained shall relieve any such member, officer, agent or <br /> employee from the performance of any official duly provided by law. <br /> Section 10.7. Execution in Counterparts. This Lease Agreement may be executed in <br /> several counterparts, each of which is an original and all of which constitutes one and the same <br /> instrument. <br /> Section 10.8. Applicable Law. This Lease Agreement is governed by and construed in <br /> accordance with the laws of the State. <br /> Section 10.9. Captions.
