"Tax Code"means the Internal Revenue Code of 1986 as in effect on the Closing Date or (except as otherwise referenced herein) as it may be amended to apply to obligations issued on the Closing Date, together with applicable proposed, temporary and final regulations promulgated, and applicable official public guidance published,under the Tax Code. "Term of this Lease Agreement" or "Term" means the time during which this Lease Agreement is in effect,as provided in Section 4.2. "2003 Bonds" means City of Redwood City Finance Authority Lease Revenue Bonds, Series 2003, outstanding in the principal amount of$5,130,000. "2003 Escrow Agreement" means that certain escrow agreement, dated as May l, 2013, between the City and the Escrow Bank,relating to the refunding of 2003 Bonds. "2003 Escrow Fund"means the escrow fund established by and held by the Escrow Bank under the 2003 Escrow Agreement. "2003 Lease Agreement" means that certain Lease Agreement, dated as of November l, 2003,betwe�n the Authority and the City. Section 1.2. Interpretation. (a) Unless the context otherwise indicates, words expressed in the singular include the plural and vice versa and the use of the neuter, masculine, or feminine gender is for convenience only and include the neuter,masculine or feminine gender,as appropriate. (b) Headings of articles and sections herein and the table of contents hereof are solely for convenience of reference, do not constitute a part hereof and do not affect the meaning, construction or effect hereof. (c) All references herein to "Articles," "Sections" and other subdivisions are to the corresponding Articles, Sections or subdivisions of this Lease Agreement; the words "herein," "hereof," "hereby," "hereunder" and other words of similar import refer to this Lease Agreement as a whole and not to any particular Article, Section or subdivision hereof. ARTICLE II COVENANTS, REPRESENTATIONS AND WARRANTIES Section 2.1. Covenants, Representations and Warranties of the Cit�. The City malces the following covenants, representations and warranties to the Authority as of the date of the execution and delivery of this Lease Agreement: (a) Due Organization and Existence.
