' ORIGINAL <br /> AMENDMENT NO. 3 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFESSIONAL SERVICES <br /> (URS CORPORATION) <br /> This A endment No. 3 is te d into and effective as of the � day of <br /> , 201 xtending and amending the agreement dated <br /> October 22, 13 by nd between the City of Redwood City, a charter city and municipal <br /> corporation f th State of California ("City"), and URS Corporation dba URS <br /> Corporation Am icas, ("Consultant") (collectively, the "Parties") for the 101/84 <br /> (Woodside Road) Interchange Project Approval & Environmental Document (PA&ED). <br /> RECITALS <br /> A. On October 22, 2013, the Parties executed the Agreement for the 101/84 <br /> (Woodside Road) Interchange Project Approval & Environmental Document (PA&ED) <br /> (the "Original Agreement"); and <br /> B. On October 13, 2014, the City Manager authorized Amendment No. 1; and <br /> C. On April 21, 2015, the City Manager authorized Amendment No. 2 (the <br /> Original Agreement, Amendment No. 1 and Amendment No. 2 are collectively referred <br /> to as the "Agreement"); and <br /> D. When the City Council approved the Original Agreement, the Council also <br /> authorized the City Manager to increase the Original Agreement amount up to 110% of <br /> the Original Agreement amount if necessary (Minute Order 13-184); and <br /> E. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, Consultant will <br /> provide those services described in Exhibit "A." With this Amendment, the total <br /> agreement amount shall not exceed three million six hundred sixty-two thousand six <br /> hundred sixty-eight dollars ($3,662,668.00). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed two hundred <br /> seventy thousand dollars ($270,000.00), for an aggregate amount of three million six <br /> hundred sixty-two thousand six hundred sixty-eight dollars ($3,662,668.00).
