7.1 .E. - Page 4 SEGTION 00520 AGREE ENT forthe Gity of Redwood Gity 2012-2413 BREWSTER AVENUE OVERLAY PROJEGT THIS AGREEMENT, made this�day of , 201_, by and between whose place of business is at hereinafter called "C(JNTRAGT{7R", and the City af Redwaad Gity, a Charter City and municipal carparation of the State of California. hereinafter referred to as "CITY". In consideration of ihe mutual covenants hereinafter set forth, Gontractor and Gity agree as follows: I. WORK A. Gontractor shall complete all Work specified in ihe Gontract documents, in accordance with the Specifications; Drawings; and all other terrns and conditions of the Gontract documents. II. GONTRAGT 5UM A. City shall pay the Gontractor as the "Gor7tract Surn° for completion of Work in accordance with the Contract documents, as the amount of [$ Amount], computed ir7 accardar7ce witY� Contractor's Accepted Proposal dated, [dates], whicY� Propasal is incorporated herein by reference thereto as if fully set forth. B. The Gontract Sum is all indusive and includes all Work; all federal, state, and local taxes on materials and equipment, and labor furnished by Contractor, its suk�cor7tractors, suk�consultants, arcY�itecis, engir7ears, and ver7dors or atY�erwise arising out of Contractor's performance of the Work, including any increases in any such taxes during the term af this Agreement; and any duties, fees, and royalties imposed with respect to any materials and equipment; labor or services. The taxes cavered hereby include (but are nat lirnited to) occupatianal, sales, use; excise, car7err�ployrr�er7t, FIGA, ar7d incorne taxes, custorns, duties, ar7d any ar7d all other taxes on any item or senrice that is part of the Work, whether such taxes are narmally included in the price of such itern ar service or are normally stated separately. Notwithstanding ihe foregoing; each party shall bear such state or local inventary, real praperty, personal property ar fixtures taxes as may be properly assessed against it by applicable taxing authorities. III. GONTRAGT TIME AND LIQUIDATED DAMAGES A. Contractor shall complete the Work within the follawing Schedule reflecting the date the Gontract Time commences to run as set forth in Section 04550 (Notice to Proceed) and Section 40700 (General Conditions); and 1.
