Hold Harm[ess. pwn�r agrees to and shall hold City and its elected officials, offcers, agents and emplayees harmless from liability for damage or claims for damage for personal injuries, including dea�h, a�d claims for property damage which may arise from the direct or ir�direct use or operatfons of Owner or those of his contractor, subcontractor, age�tt, employee or ather person acting an his behalfi which relate to the use, operation and maintenance of the Historic Property. Owner �ereby agrees to and shall defiend fhe City and its elected officEals, afficers, agen#s and employees with respec# to any and all actions for damag�s caused by, or alleged to have been caused by, reason of 4wner's activities in cannection with the Historic Property. This hoid harmless provision applies to a!I damag�s and claims for damages suffered, or alleged to have been suff�r�d, by reason of the operations referred to in this Contract regardless of whether or r�ot the City prepared, supplied or appro�ed the plans, specifications or other documents for tt�e Historic Proper�y. 11. Status of Parties. None of the terms, provisions or conditions of this Contract shall be deemed to create a partnership beiween the pa�ties hereto and any of their heirs, successors or assigns, nor shall such �erms, pro�isions or conditions cause them to be consideretf joint�enturers or members of any joint enterprise. 12_ Cafifornia Law.
