to local entrepreneurs ("Entrepreneurship Hosting Events"). Each event will include a speaker <br /> and an opportunity for participants to engage in networking. The agenda and location for each <br /> event will be determined by the GSB after consultation with the City Manager or his or her <br /> designee. Example speakers and topics may include a Stanford faculty member speaking on <br /> issues such as leadership or managing change, a venture capitalist speaking on investment in <br /> Silicon Valley companies, and/or a Redwood City leader addressing issues particular to local <br /> businesses. - <br /> a. Pro�ram Venue and Amenities. The GSB will arrange a venue located <br /> within Redwood City for each of the Entrepreneurship Hosting Events. The GSB will provide <br /> speakers,beverages and snacks for each event. <br /> b. Advance Notice. The City Manager or his or her designee and the GSB <br /> will select dates for each of the Entrepreneurship Hosting Events at least six months in advance <br /> of each event. Once each event date has been selected, the GSB will deduct the event amount <br /> from the program's budget allocation. The GSB will work cooperatively with the City to <br /> reschedule dates once per year if substitute dates are available at no additional cost to the GSB, <br /> including opportunity costs. <br /> c. Marketing Materials. The City will be responsible for advertising the <br /> Entrepreneurship Hosting Events. In order to assist the City in advertising the events, the GSB <br /> will develop and produce up to 2,000 copies of written materials, such as a brochure or flyer, as <br /> well as web-based content to describe each Entrepreneurship Hosting Event. City will be <br /> responsible for disseminating the marketing materials. <br /> d. Initial Budget Allocation. The initial budget allocated to the <br /> Entrepreneurship Hosting Events is $64,000 per event, for total amount of$640,000. <br /> e. Effect of Fees Char�ed to Participants and/or Reallocation of Bud e�ted <br /> Amounts. The City Manager may choose to require attendees to pay a fee to attend the <br /> Entrepreneurship Hosting Events. If the City Manager requires participants to pay such a fee, <br /> the participants will remit payment directly to the GSB. The GSB will hold such payments in a <br /> non-interest bearing account established to supplement the Entrepreneurship Hosting Events <br /> budget allocation. By mutual agreement, the City Manager and the GSB also may elect to <br /> reallocate to the Entrepreneurship Hosting Events any unused amounts allocated to other <br /> programs described in this Exhibit C. <br /> f. Extension of Pro r�am Beyond the Initial Five-Year Period. Upon mutual <br /> agreement of the Parties, the GSB may continue to provide the Entrepreneurship Hosting Events <br /> until the budget allocated to this program has been expended (the initial budget allocation plus <br /> any supplemental amount collected from attendees and any amount reallocated to this program <br /> from other programs). After the initial five-year period, the GSB may increase the cost for each <br /> event by an amount that corresponds to any increases in the actual costs of providing venues, <br /> speakers, food and marketing materials associated with such events. If the Parties do not agree <br /> to extend this program beyond the initial five-year period, or if the remaining budgeted amount <br /> for the program is less than the annual cost for the program, the remaining budgeted amount will <br /> be reallocated to a different program described in this Exhibit C. <br /> EXHIBIT C <br /> 4 <br /> ATTY/AGR/2013.134/STANFORD DEVELOPMENT AGREEMENT <br /> REV: 08-14-13 PT <br />
