Assignor has entered into a Development Agreement with City effective <br /> (Recorder's Document No. ) ("Development Agreement"), to <br /> facilitate the development and use of that certain real property consisting of approximately <br /> 35 acres within the City of Redwood City, County of San Mateo, State of California, which is <br /> legally described in Exhibit A to the Development Agreement and shown on the map attached to <br /> the Development Agreement as Exhibit B ("Site"). Capitalized terms used but not otherwise <br /> defined herein shall have the meaning ascribed to such terms in the Development Agreement. <br /> B. Assignor is the fee owner or ground lessor of the Site, [a portion of which isJ <br /> designated as APNs , more particularly described in Attachment 1 attached <br /> hereto and incorporated herein ("Property"). <br /> C. Assignor desires to transfer its interest in the Property to Assignee concurrently <br /> with execution of this Assignment Agreement and Assignee desires to so acquire such interest in <br /> the Property from Assignor. <br /> D.
