14. Counterparts. This Assignment Agreement may be executed in one or more <br /> counterparts, each of which shall be deemed to constitute an original, but all of which, when <br /> taken together, shall constitute one and the same instrument, with the same effect as if all of the <br /> parties to this Assignment Agreement had executed the same counterpart. <br /> 15. City Consent. City is executing this Assignment Agreement for the limited <br /> purpose of consenting to the assignment and assumption and clarifying that there is privity of <br /> contract between City on the one hand, and Assignee on the other, with respect to the <br /> Development Agreement. <br /> 16. Effective Date. The Effective Date of this Assignment Agreement shall be the <br /> date upon which Assignee obtains fee title to or a ground lease far the Property and Assignor <br /> delivers evidence of the transfer to City ("Assignment Agreement Effective Date").
