Agreement. LICENSEE shall deliver to CITY evidence of the coverage <br /> required hereunder on or before the Effective Date, and delivery of such <br /> evidence shall be a prerequisite to and condition of LICENSEE's right to <br /> use the City Property pursuant to this Agreement. <br /> 2) All insurance required above,shall provide the CITY 30 days written notice <br /> in the event of cancellation. <br /> 3) With regard to the Liability insurance required above, excepting any <br /> pollution legal liability policy, CITY, its officers, agents and employees <br /> shall be named as an additional insured on an endorsement with completed <br /> operations and on-going operations coverage. An endorsement providing <br /> that this coverage is primary and non-contributory shall also be provided. <br /> 4) Prior to the Effective Date LICENSEE shall deliver to CITY certificates of <br /> insurance and additional insured endorsements in a form reasonably <br /> satisfactory to CITY, evidencing the coverages required hereunder. <br /> 5) LICENSEE's compliance with the provisions of this Section shall in no way <br /> relieve or decrease LICENSEE 's indemnification obligations under this <br /> Agreement or any of LICENSEE 's other obligations hereunder. <br /> Notwithstanding anything to the contrary in this Agreement,this Agreement <br /> shall terminate immediately, without notice to LICENSEE, upon the lapse <br /> of any required insurance coverage. LICENSEE shall be responsible, at its <br /> expense, for separately insuring LICENSEE's personal property. <br /> 17. Entire A�reement; Severabilitv. This Agreement contains the sole and complete <br /> agreement between the parties relating to the City Property and the License. This <br /> Agreement may not be changed orally and may be amended only by an agreement in <br /> writing signed by both parties. In the event that any provision of this Agreement shall be <br /> held to be or become invalid or unenforceable in certain circumstances, the validity and <br /> enforceability of the remaining provisions, or such provision in other circumstances, shall <br /> not in any way be affected or impaired. <br /> 18. Notices. Any notice, request, demand, approval or consent given or required to be given <br /> under this Agreement shall be in writing and shall be deemed to have been given when <br /> mailed by United States registered or certified mail, postage prepaid, return receipt <br /> requested, to CITY or LICENSEE, as the case may be, at the respective addresses listed <br /> below, or may be made by personal service. <br /> ATTY/AGR/2013.242/CD-DEWATERING LICENSE AGREEMENT <br /> REV:12-10-13 VR Page 8 of 12 <br />
