"Exempt City Laws" are defined in Section 2.5. <br /> "Extension Conditions" are defined in Section 1.3.3. <br /> "Extension Request" is defined in Section 1.3.3. <br /> "Existing Approvals" means and includes those permits and approvals for the Project <br /> granted by City to Developer as of the Effective Date as set forth in Recital E. <br /> "First Term Extension" is defined in Section 1.3.2.1. <br /> "General Plan" means the City of Redwood City's General Plan adopted on October 11, <br /> 2010, as amended through the Effective Date. <br /> "Impact Fees" means the monetary amount charged by City in connection with a <br /> Development Project for the purpose of defraying all or a portion of the cost of mitigating the <br /> impacts of the Development Project or development of the public facilities related to the <br /> Development Project, including, any "fee" as that term is defined by Government Code section <br /> 66000(b), but not including Processing Fees. For purposes of this Agreement, a fee that meets <br /> both the definitions of an Impact Fee and a Connection Fee, or that meets both the definitions of <br /> an Impact Fee and an Exaction, will be considered to be an Impact Fee. <br /> "Initial Term" is defined in Section 1.3.1. <br /> "Litigation Challenge" is defined in Section 4.4. <br /> "MajorAmendment" is defined in Section 7.2.2. <br /> "Material Condemnation" is defined in Section 7.4. <br /> "MMRP" shall have the meaning provided in Recital E. <br /> "Mortgage" means any mortgage, deed of trust, security agreement, and other like <br /> security instruments encumbering all or any portion of the Property or any of the Developer's <br /> rights under this Agreement. <br /> "Mortgagee" means the holder of any Mortgage, and any successor, assignee or <br /> transferee of any such Mortgage holder. <br /> "Neighborhood Streets Enhancement Program Contribution" is defined in Section 3.2. <br /> "Net New Development" means any new building construction on the Property which <br /> increases the combined square footage on the Property above the amount of gross building area <br /> in place on the Property as of the Effective Date (i.e., 536,000 square feet of gross building area). <br /> "New City Laws" means and includes any ordinances, resolutions, orders, rules, official <br /> policies, standards, specifications, guidelines or other regulations, which are promulgated or <br /> adopted by the City (including but not limited to any City agency, body, department, officer ar <br /> 6 <br /> ATTY/AGR/2013.134/STANFORD DEVELOPMENT AGREEMENT <br /> REV: 08-14-13 PT <br />
