1'1.5 Submission of Insurance Policies. City reserves the right to require, at <br /> anytime, compfete and certified capies of any or ai! required insurance policies <br /> and endorsements. <br /> 11.6 Primarv Coverage. For any claims related to the Services and this <br /> Agreement, the ConsultanYs insurance coverage wi(I be primary insurance with <br /> respect to City, its afficers, agents, volunteers and employees. Any insurance or <br /> selfansurance maintained by City for itself, its officers, agents, volunteers and <br /> employess, will be in excess of Consultant's insurance and not contributory with <br /> it. <br /> 11.7 Reduction in Coveraqe/Material Chan�es. Consultant will notify City thirty <br /> (30) days prior ta any reduction in any of the insurance coverage required <br /> pursuant #o this Agreement or any material changes to the respective insurance <br /> policies. <br /> 12. Business License. Consultant will obtain and maintain a City af Recfwaod City <br /> Business License for the term of#he Agreement, as may be amended from time-ta-time. <br /> 13. Maintenance of Records. Consultant wilf maintain complete and accurate records <br /> with respec# to costs incurred under this Agreement. Ali recards will be clearly <br /> iden#ifable. Cansulfant will allow a representative of City during normal business haurs <br /> #o examine, audit, and make transcripts or copies of records and any other dacuments <br /> created pursuant to this Agreement. Consultant will allaw inspection of all work, data, <br /> documents, proceedings, and activities �efated ta the Agreement for a period of three <br /> (3)years from the date af final payment under this Agreement. <br /> 14. Ownership of Documents. All uvork product produced by Cansulfiant or its <br /> agents, employees, and subcantractors pursuant #o this Agreement is the property of <br /> City. In the event this Agreement is terminated, all work praduct produced by Consultant <br /> or its agents, emptoyees and subcontractars pursuant to this Agreement will be <br /> delivered ta City pursuant ta the termination clause of this Agreement. Consultant will <br /> have the right to make one {1} copy of the work producf for Consultant's records. <br /> Notwifhstanding the provisions of this Section, Contractor's interests in computer filss, <br /> media, or other proprietary documents or pracesses, including, but not limited to <br /> software, but not including City`s data, that are created for Contractar's general <br /> business use and not for the City's exclusive use under this Agreement will not became <br /> the property of the City, even if they are pravided �o the city for use under #his <br /> Agreement. At the City's request contractar shall deliver City's data to the City in an <br /> electronic format agreed upon by both parties. <br /> 15. Capyris�hts.
